Terms of Service

The terms that govern your use of Collabre, covering accounts, acceptable use, your content, AI output, billing, liability and governing law.

1. Agreement to these terms

These Terms of Service are an agreement between you and {{LEGAL_ENTITY}}, registered at {{REGISTERED_ADDRESS}}, and they govern your use of the Collabre platform, the website, the API and everything we provide with them, which these terms call the Service. You accept them by creating an account, by clicking to agree or by using the Service. If you accept them for a company, you confirm that you can bind that company.

2. The Service

Collabre is a content operations platform. You use it to plan, write, approve, schedule, publish and measure content across the platforms and tools you connect. We keep changing the product, so features are added, changed and withdrawn. We give reasonable notice before a change takes something away that you rely on.

3. Accounts

You must be at least 16 years old to use the Service. You are responsible for keeping your credentials to yourself, for what happens under your account, and for everyone you invite into your workspace. Write to [email protected] as soon as you suspect that someone else has reached your account.

4. Acceptable use

You may not, and you may not let anyone else:

We can suspend or close an account that breaks this section, without notice where notice would put the Service or another customer at risk.

5. Your content

You keep every right you already hold in the text, media, briefs and other material that you and your workspace members put into the Service, which these terms call Customer Content. You give Collabre a worldwide, non-exclusive, royalty-free license to host, store, transmit, display and process Customer Content, for one purpose only: running the Service for you, publishing to the channels you choose and answering the AI requests you make. We do not use Customer Content to train third-party foundation models without your explicit consent.

6. AI output

The Service uses generative AI models to draft text, suggest captions and generate images. Their output can be wrong, biased or unusable, so review and approve it before you publish it. You may use the output for any lawful purpose, subject to the terms of the model provider and to the rules of the platform you publish on. Agent actions that publish, spend or delete are governed by the approval rules and the caps you set, and the product asks a person when no rule covers a call.

7. Intellectual property

The Service, including its software, design, documentation, trademarks and the Collabre name and logo, belongs to {{LEGAL_ENTITY}} or to the people who license it to us. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. No other rights are granted by implication, estoppel, or otherwise.

8. Third-party services

The Service connects to services that you choose, and to the vendors we use to run it, including hosting, storage, payment and AI model providers. The subprocessors page lists the vendors we use. Your use of a service you connect is governed by that service's own terms, and Collabre is not responsible for what it does, or for it being unavailable.

9. Billing

Paid plans are billed in advance on a monthly or annual cycle through Stripe, at the prices shown on the pricing page or in your order form. Fees are non-refundable except as required by law and except for the following narrow cases: (a) within 14 days of your first paid invoice you may request a full refund if you have not used the Service materially; (b) if we materially decrease functionality during a paid term and you cancel within 30 days of the change, we refund the unused portion of your prepaid fees on a pro-rata basis. Annual plans are not refundable on a month-to-month basis after the initial 14-day window.

You authorize us to charge your payment method for all fees, including applicable taxes, and to retry failed charges. We may suspend the Service if an invoice is more than 14 days overdue. Plan changes take effect at the next billing cycle unless you choose to upgrade immediately, with pro-rated billing.

10. Account termination

You may cancel your subscription at any time from the billing settings in your workspace. Cancellation prevents future renewals, and it does not refund prepaid fees except under the refund policy in section 9. After cancellation you may export your data for 30 days, after which workspace data is deleted as described in the Privacy Policy and in the data processing agreement.

We may suspend or terminate your account immediately if you breach these terms, if your use creates legal or security risk for Collabre, if the law requires it, or if your payment is more than 30 days overdue. We may also discontinue the Service with at least 60 days of prior notice and a refund of unused prepaid fees.

11. Disclaimers

EXCEPT WHERE THESE TERMS SAY OTHERWISE, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND THE ACCURACY OF AI OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE OR SECURE.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, COLLABRE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFIT, LOST REVENUE, LOST DATA OR LOST GOODWILL, ARISING OUT OF THESE TERMS OR THE SERVICE, EVEN IF WE WERE TOLD THAT SUCH DAMAGE WAS POSSIBLE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, AND (B) ONE HUNDRED U.S. DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You will defend, indemnify and hold harmless Collabre, and its officers, directors, employees and agents, from any claim, demand, loss or damage, including reasonable legal fees, that arises out of your use of the Service in breach of these terms, out of Customer Content you publish or distribute through the Service, or out of your breach of anyone else's rights, including intellectual property and privacy rights.

14. Governing law and disputes

These terms are governed by the laws of {{GOVERNING_LAW}}, without regard to its conflict of laws rules. The exclusive venue for any dispute that is not subject to arbitration is the courts located in {{GOVERNING_LAW}}, and you and Collabre consent to personal jurisdiction there. You and Collabre waive any right to a jury trial. Nothing in this section limits your statutory consumer rights in your country of residence.

15. Changes to these terms

We update these terms when the product or the law changes. When we make a material change, we give at least 30 days of notice by email or by a notice in the product before it takes effect, and using the Service after that date means you accept the new version. The version and the date at the foot of this page describe the copy you are reading.

16. Miscellaneous

These terms, the Privacy Policy, the data processing agreement and any order form are the whole agreement between you and Collabre. If a provision turns out to be unenforceable, the rest stays in force. We can assign these terms as part of a merger, an acquisition or a sale of assets, and you can assign them with our written consent. Not enforcing a right on one occasion does not waive it.
